Reward Cap & Payouts

You can earn up to USD $5,000 per introduction. The reward period ends once the USD $5,000 cap is reached or after 12 months of the client’s engagement — whichever comes first. Rewards are processed quarterly after the USD $25,000 payment threshold is met and paid by the client. 

Trusted Introduction Program Agreement & Terms of Service

1. Overview

The Fractional First Trusted Introduction Program (“Program”) rewards introductions that lead to new-paying clients of Fractional First (“FF”, “we”, or “us”). By submitting a trusted introduction, you (“Referrer”) agree to these Terms & Conditions (“Terms”).

2. Eligibility

  • You may participate if you:

  • Are an individual or entity in good standing;

  • Are not an FF employee, contractor, or affiliate;

  • Have not engaged in conduct that, in FF’s reasonable opinion, could harm FF’s reputation;

  • Do not refer your own company or an entity in which you hold a controlling, operational, or decision-making role.

 

Exceptions:

  • If you are employed by, but are not in a decision-making capacity within, the referred company, FF may accept your referral at its discretion.

  • Referrals of portfolio companies by venture-capital, private-equity, or family-office professionals are permitted if made in good faith and at arm’s length.

 

3. What Counts as a Qualified Referral

A referral qualifies only when all of the following occur:

a. Warm Introduction: You introduce FF to a senior executive (CEO, Founder, or equivalent) by email to referrals@fractionalfirst.com, copying both parties and including a brief context of your relationship. Should the trusted introduction first happen in person, you must submit a follow-up email (as stated above) for documentation purposes. All trusted introductions/referrals must go through referrals@fractionalfirst.com to be eligible. 

b. Authentic Need: The company has a genuine and timely need for leadership support.

c. Timely Conversion: Within six (6) months of your introduction (“Referral Date”), the company signs a service agreement and pays its first invoice in full, with no refund or contingency.

d. Unique Referral: The company was not already a client, in discussion, or referred by another person.

 

FF will determine qualification in its reasonable discretion.

 

4. Rewards & Payment

  • You earn USD $1,000 for every USD $25,000 of FF services delivered and paid for by the Client.

  • No proration below USD 25,000.

  • Rewards are capped at USD $5,000 per company or 12 months from the Client’s first paid engagement, whichever comes first.

  • FF pays within 60 days after both of the following have occurred:

      (i)  USD $25,000 in FF services has been delivered and paid for by the Client; and

      (ii)  Any guarantee or refund period for that work has expired.

 

Payments are typically assessed and processed once per calendar quarter to streamline administration. Payments are made by bank transfer or another agreed-upon method. The Referrer is responsible for any taxes or fees. No entitlement to payment arises until FF confirms eligibility in writing.

5. Conduct & Integrity

You must act in good faith and uphold FF’s reputation. FF may withhold or cancel rewards if:

  • Information provided is false or misleading;

  • The referral breaches these Terms or applicable law; or

  • You attempt to bypass FF and work directly with the referred company.

 

If receiving a referral reward could reasonably place you in a position of conflict of interest — for example, with your employer, client, or affiliated organization — you are expected to disclose this to FF and to decline the reward if appropriate.

 

6. Confidentiality & Data Protection

You must keep all non-public information about FF and its clients confidential and comply with all applicable data-protection laws (including PDPA and GDPR). You confirm that you have the referred party’s consent to share their details with FF.

 

7. Indemnity & Limitation of Liability

You agree to indemnify FF, its officers, and affiliates against losses arising from your breach of these Terms or any misrepresentation in a referral. FF’s total liability under this Program is limited to the total rewards actually paid to you. FF shall not be liable for any indirect, incidental, or consequential damages.

 

8. Force Majeure

Neither party will be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from events beyond its reasonable control — including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor strikes, or governmental actions — provided that the affected party takes reasonable steps to mitigate the impact and promptly notifies the other party.

9. Time Limit for Claims

Any claim or dispute arising from these Terms must be brought within one (1) year from the date the cause of action first arose. After this period, both parties waive the right to bring any such claim.

 

10. Additional Legal Provisions

a. Non-assignment: You may not assign or transfer any rights or obligations under these Terms without FF’s prior written consent.

b. Attorneys’ Fees: In any dispute arising out of these Terms, the prevailing party shall be entitled to recover reasonable legal fees and costs.

c. Arbitration Option: FF may elect to resolve any dispute through confidential arbitration in Singapore under the Arbitration Act 1994, with one arbitrator appointed by the Singapore International Arbitration Centre (SIAC).

d. Audit Right: FF may request reasonable evidence of a Referrer’s compliance with these Terms, and failure to cooperate may disqualify a referral or reward.

e. Non-disparagement: Referrer agrees not to make any public statements or communications that could reasonably harm FF’s reputation or business interests.

 

11. Amendments & Termination

FF may amend, suspend, or terminate this Program or these Terms at any time.

Changes take immediate effect upon posting to FF’s website and/or written notice. Continued participation indicates your acceptance of the updated Terms.

FF’s decisions on eligibility and payment are final.

 

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Singapore. All disputes shall be resolved in the courts of Singapore. Each party waives the right to participate in class or representative actions to the extent permitted by law.

 

13. Entire Agreement

These Terms form the entire agreement relating to the Program and operate alongside any other terms you have agreed to with FF, including FF’s website Terms of Use, Privacy Policy, and any other applicable contracts or policies. If there is a conflict, the provision offering greater protection to FF shall prevail.

 

14. Acceptance

By submitting a trusted introduction/referral, you confirm that you have read, understood, and agree to these Terms.
